Terms of Service

By accessing and using GrantCopilot, you accept and agree to be bound by these terms of service.

Service Description

GrantCopilot provides a software-as-a-service platform for grant discovery, proposal writing assistance, research analysis, and related tools. Our services include advanced grant matching and filtering, research agent functionality, proposal analysis, bookmarking system, and AI-powered content generation. We utilize third-party APIs including OpenAI for AI content generation, Perplexity AI for research capabilities, Stripe for payment processing, and federal government databases (grants.gov, NIH Reporter, NSF Awards, USASpending.gov, and CFDA) for grant information. Service availability depends on these third-party providers and is provided "as-is" without warranties of any kind.

User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information and promptly update any changes to your account details.

Third-Party Services and APIs

Our platform integrates with external services including Stripe for payment processing and subscription management, OpenAI's API for artificial intelligence content generation, Perplexity AI's API for research capabilities, and federal government databases (grants.gov, NIH Reporter, NSF Awards, USASpending.gov, CFDA) for grant information. By using our service, you acknowledge that: (a) your payment information is processed by Stripe according to their terms of service; (b) your content may be processed by OpenAI's systems according to their usage policies; (c) your research queries may be processed by Perplexity AI's systems according to their usage policies; (d) grant data is sourced from public federal databases and may not always be current; (e) service interruptions may occur due to third-party provider limitations; and (f) you agree to comply with the terms of service of integrated third-party providers.

Acceptable Use

You may not use our service for illegal purposes, to violate any laws, to transmit harmful content, or to interfere with the service's operation. Specifically regarding AI and research features, you agree not to: generate content that violates OpenAI's usage policies; attempt to reverse engineer AI models; use AI-generated research or analysis for purposes requiring professional certification without proper review; submit AI-generated content to grant applications without human verification; or abuse the research agent or analysis features for non-grant related purposes. You retain ownership of content you submit but grant us license to process it as necessary to provide our services.

Subscription and Payment

Subscription fees are billed in advance and are non-refundable except as required by law. We may modify pricing with 30 days notice. Your subscription will automatically renew unless cancelled before the renewal date.

Termination

Either party may terminate these terms at any time. Upon termination, your right to access the service ceases immediately. We may suspend or terminate accounts for violation of these terms or for any reason with appropriate notice.

Privacy and Data

We collect and process personal information as described in our Privacy Policy. We implement reasonable security measures but cannot guarantee absolute security. You are responsible for backing up your important data.

AI Content and Service Availability

AI-generated content is provided for assistance purposes only and requires human review and verification. Service availability may be affected by third-party provider limitations, including OpenAI API outages or federal database maintenance. We do not guarantee continuous availability of AI features or grant data accuracy. Users are solely responsible for verifying all information before use in official applications.

Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any content, grant information, AI-generated outputs, or research analysis. You assume all risk for use of the service and any reliance on content provided through it.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRANTCOPILOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (a) your use or inability to use the service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the service; (d) any bugs, viruses, or the like that may be transmitted to or through our service by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the service; (f) unsuccessful grant applications, missed deadlines, or rejected proposals; or (g) any third-party service interruptions including OpenAI, Stripe, or government databases. Our total liability to you for any claim arising out of or relating to these terms or the service shall not exceed the greater of one hundred dollars ($100) or the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless GrantCopilot and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service or any content you submit; (b) your violation of these terms; (c) your violation of any rights of another party, including grant funding agencies; (d) any grant applications you submit using content generated by or with assistance from our service; (e) your breach of any representation or warranty contained in these terms; or (f) any dispute between you and any third party arising from your use of the service.

User Compliance Obligations

You are solely responsible for ensuring that your use of our service and any grant applications you submit comply with all applicable laws, regulations, grant requirements, and funding agency policies. This includes but is not limited to: verifying all grant eligibility requirements; ensuring accuracy of all information submitted in applications; complying with funder-specific rules and formatting requirements; obtaining necessary approvals and certifications; meeting application deadlines; and properly disclosing the use of AI-assistance tools where required. GrantCopilot is a tool only and does not provide legal, financial, or professional grant writing advice.

Data Loss and Backup

While we implement reasonable measures to protect your data, we are not responsible for any loss, corruption, or deletion of your content or data. You are solely responsible for maintaining backups of any important information, proposals, or documents. We recommend regularly exporting and backing up your work. We reserve the right to delete data associated with inactive accounts or accounts in violation of these terms.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of third-party service providers (including OpenAI, Stripe, or government databases).

Dispute Resolution and Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms or the service shall be brought exclusively in the federal or state courts located in Utah, and you consent to the personal jurisdiction of such courts. You agree to first attempt to resolve any dispute informally by contacting us. If we cannot resolve a dispute within thirty (30) days, either party may pursue formal resolution.

Class Action Waiver

YOU AND GRANTCOPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and GrantCopilot agree otherwise, the arbitrator or court may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

No Agency Relationship

No agency, partnership, joint venture, or employment relationship is created between you and GrantCopilot as a result of these terms or your use of the service. You do not have any authority to bind GrantCopilot in any respect whatsoever.

Assignment

You may not assign or transfer these terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these terms at any time without notice or consent. Any attempted assignment in violation of this section shall be null and void. Subject to the foregoing, these terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The invalid, illegal, or unenforceable provision shall be deemed replaced by a valid, legal, and enforceable provision that comes closest to the intention underlying the original provision.

Entire Agreement

These terms, together with our Privacy Policy and any other policies or guidelines we publish, constitute the entire agreement between you and GrantCopilot regarding your use of the service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the service. No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision.

Changes to Terms

We may modify these terms at any time with notice posted on our website. Material changes will be communicated via email. Continued use of the service after changes constitutes acceptance of the new terms.
